DIAGRAMMaudio®GbR — General Terms and Conditions (GTC)
1. Scope
These General Terms and Conditions (GTC) apply to all contracts, deliveries, and services between DIAGRAMMaudio®GbR (Erfurt, Germany) and our customers.
2. Enquiries, Orders, and Conclusion of Contract
Customer enquiries (by e-mail or other means of communication) are welcome and do not create any obligation to purchase.
A binding contract is only concluded once the customer has submitted a written order after all details have been clarified, and we have confirmed this order with a written order confirmation by e-mail.
3. Prices and Payment
All product prices are final prices and include statutory VAT (unless otherwise stated).
Shipping costs are not included in the product prices. They are calculated individually depending on the delivery address and communicated to the customer before the order confirmation.
Payment is generally made in advance (bank transfer, PayPal, or other agreed payment methods). Production begins after receipt of payment.
Payment is generally due within 14 days after order confirmation, unless otherwise agreed.
If payment is not received within this period, DIAGRAMMaudio®GbR reserves the right to suspend production and delivery until payment is received.
4. Delivery, Shipping, Carrier Selection, Risk Transfer, and Insurance
4.1 General Provisions
Delivery takes place after individual production within the agreed period.
Shipping costs are calculated based on the tariffs valid at the time of order.
If shipping rates change significantly during the production period (e.g., due to carrier tariff adjustments, fuel surcharges, or changes in international shipping costs), we reserve the right to adjust the shipping costs before dispatch.
This adjustment may result in an additional payment by the customer or, in the event of a significant decrease in shipping rates, a partial refund of the difference to the customer.
The customer will be informed in advance in both cases.
Delivery is worldwide, provided it is technically and legally possible.
4.2 Risk Transfer
B2B (business customers): Risk of accidental loss or damage passes upon transfer of goods to the agreed carrier.
B2C (private customers): Risk passes only upon actual delivery to the customer or their authorized representative.
Customers are encouraged to insure shipments; DIAGRAMMaudio®GbR may insure at its discretion. Insurance compensation does not override legal risk transfer.
4.3 Inspection and Notification of Damage
Customers must inspect the goods immediately upon receipt and notify DIAGRAMMaudio®GbR in writing of visible damage.
B2B: Visible defects must be reported within 7 days; hidden defects immediately after discovery.
B2C: Notification should be made without undue delay, ideally within 14 days.
DIAGRAMMaudio®GbR may record the packaging process on video to document condition and contents.For quality assurance and proof of shipment, we may record the packaging process on video before dispatch. This video serves as evidence of the condition and contents of the goods at the time of shipment.
4.4 Late or False Claims
Claims made after the specified periods will generally not be accepted, unless otherwise required by law.
DIAGRAMMaudio® GbR may use video and photo documentation to verify the condition of shipments.
Any insurance coverage (if applicable) is handled separately and does not affect the provisions on risk transfer.
4a. Production Time for Loudspeakers
The production of high-end Loudspeakers takes approximately 2 months. In case of any delays, DIAGRAMMaudio®GbR will inform the customer and agree on a new delivery date.
5. Retention of Title
The goods remain the property of DIAGRAMMaudio®GbR until full payment has been received.
6. Warranty and Complaints
The statutory warranty applies to our products.
In the event of any defects, we kindly ask customers to notify us in writing within 7 days of receipt of the goods.
Individually manufactured products are generally excluded from withdrawal, unless statutory reasons (e.g., defects covered by warranty) apply.
7. Right of Withdrawal
As our products are manufactured individually according to customer specifications, there is no right of withdrawal in accordance with § 312g para. 2 no. 1 BGB, except where required by law.
Legal reasons for withdrawal are limited to significant defects in the product, non-conformity with the agreed specifications, or failure to provide mandatory information about the customer’s rights.
8. Liability
DIAGRAMMaudio®GbR is only liable for intent and gross negligence in accordance with §§ 276, 278 BGB.
We accept no liability for damages caused by misuse, improper installation, unauthorized modifications, or third-party interventions.
This limitation of liability does not affect mandatory statutory rights of consumers under applicable law.
9. Force Majeure
DIAGRAMMaudio®GbR is not liable for delays or non-fulfillment caused by events beyond its control (natural disasters, strikes, transport accidents, supply chain disruptions, war, etc.).
10. Data Protection
The provisions of our Privacy Policy (see website) apply.
11. Place of Jurisdiction and Applicable Law
German law applies; mandatory consumer rights in their country remain unaffected.
Place of jurisdiction: Erfurt, Germany.
12. Changes to Product Components, Design, and Specifications
DIAGRAMMaudio®GbR reserves the right to make changes to product components, design, or specifications if certain components are unavailable or cannot be supplied as originally described on the website.
In such cases, DIAGRAMMaudio®GbR will propose suitable alternative components or adjustments and inform the customer in advance. Changes will only be implemented after the customer’s approval.
13. Final Provisions
Should individual provisions be invalid, the validity of the remaining provisions shall not be affected.
